CVA: the Board of Directors grants powers to the CEO and establishes the Board Committees

CVA S.p.A.: THE BOARD OF DIRECTORS GRANTS POWERS TO THE CHIEF EXECUTIVE OFFICER AND ESTABLISHES THE BOARD COMMITTEES

The Board of Directors of CVA S.p.A., appointed by the Sole Shareholder’s Meeting held on 21 August 2026, met today at the Company’s offices in Châtillon.

The Board of Directors is composed of Chair Monica de Virgiliis, Chief Executive Officer Gianfilippo Mancini and Directors Patrick Actis Perinetto, Laura Broccardo, Stefano Distilli, Alessandra Ferrari and Helga Garuzzo.

The Board of Directors granted the Chief Executive Officer the powers to manage the Company, within the guidelines set by the Board and without prejudice to the matters reserved to the Board itself.

The Board also verified that its members meet the requirements set out in the applicable regulations and in the Company’s By-laws.

The Board further established the following Committees, with preparatory, advisory and consultative functions:

Comitato Controllo e Rischi, Parti Correlate e Conflitti di Interessi, composto da Helga Garuzzo (Chair), Stefano Distilli e Alessandra Ferrari;

Comitato Investimenti e Operazioni Straordinarie, composto da Stefano Distilli (Chair), Laura Broccardo e Alessandra Ferrari;

Comitato Nomine e Remunerazioni, composto da Monica de Virgiliis (Chair), Laura Broccardo e Patrick Actis Perinetto.
